Ilya Shilov · Commercial lawyer
Experience & selected work
I have worked in-house, handled international transactions and led legal work.
I draft documents and negotiate in Russian and English, including contracts governed by English law.
International contracts
I have drafted and negotiated agreements with overseas companies on payment, delivery, liability and rights to the result, working in English where needed.
OEM and ODM supply
I structured agreements for goods a partner makes and a company sells under its own brand. They connect production obligations, rights in existing and newly developed materials, and commercial terms, including technology transfer.
Rights to software and other developments
I check how a company acquired the rights in its software and other results, including in IP due diligence, and prepare assignments, licences and commercialisation arrangements.
Where what the company owns falls short of what a transaction needs, I propose contractual or structural solutions.
Rights the company holds
Code it owns and components it uses under licence
What the deal requires
Ownership, an exclusive licence or a non-exclusive licence
How to get there
Assignment, licence or a change in deal structure
Business acquisitions and investments
I have advised on buying and selling companies and on raising capital, including technology M&A and deals involving international groups.
The work covers structuring and due diligence, negotiation, corporate approvals, signing and implementation.
